i understand that co will typically request to keep the employee's passport even though it is wrong legally.

so can anyone share with me the rational behind why co wants to keep the employees' passport. And if the co really need to keep the passports, any way to make it 'legal'?

Doing an internal audit for my co operation in dubai and the co does keep employees' passports. It's definately wrong yet since it is a norm. I am thinking of a way to justify the act. So was thinking from the co's point of view what the co must do to cover themselves.

You have to consider that the vast majority of the population are the lower paid construction workers who do not visit this forum, so when conducting a Poll, maybe you need to gou out on construction projects and ask the question. That's when you will find that almost all of the workers do not have free access to their passports.
